EchoStar Corporation in our Office of the General Counsel, Germantown, Maryland, is currently seeking a Senior Corporate Paralegal who will be responsible for providing expert paralegal support to the Corporate Legal Team.
Board of Directors – assist in preparation and distribution of materials for all board and committee meetings; maintain records and electronic board portal; draft and prepare corporate documents.Shareholder Matters – assist with annual proxy statements and annual shareholder meetings; manage and work with outside vendors; respond to requests relating to company shareholders.Public Company and Equity Matters – assist in handling public company related matters, including SEC filings, NASDAQ compliance, maintenance of EDGAR codes, powers of attorney, press releases and website postings; assist on equity related matters.Auditors – provide deliverables and respond to requests from company auditors, including quarterly litigation summaries and board and committee minutes.Transaction and Compliance Support – support attorneys and business teams on domestic and international corporate and strategic transactions (i.e., M&A, financings and other transactions), manage electronic data sites and due diligence efforts, handle various integration/post‑closing matters; support ongoing compliance; lien searches and UCC filings.Entity Management – manage domestic and international entities and investments and manage activities with all registered agents. Directors and Officers – assist in onboarding and departure of directors and officers, including documentation, records and other administrative processes; manage and process director payments.Agreement Drafting and Review -- under the supervision of an attorney, draft, edit and assist in preparing legal documents.Records Management – maintain, organize and manage physical and electronic files and records; prepare binders and closing sets of completed transactions for internal use and distribution as needed. Budget and Billing – assist corporate legal team on budget, accrual and expense matters and outside counsel and vendor billing matters.Other –duties as assigned.
Bachelor’s degree5+ years of hands-on corporate paralegal experience in a publicly traded company or in a law firm having worked directly with publicly traded companiesStrong computer skills on MS Word, Excel, PowerPoint, Access database, Outlook, Visio and Adobe StandardExperience supporting multiple attorneys and multiple workstreamsExperience with domestic and international entities and matters
Paralegal CertificateNotary in State of MarylandStrong work ethic, attention to detail and pride of workHigh level of discretion with confidential mattersStrong communication skillsComfortable handling large work load under time constraints and demonstrated ability to balance multiple, competing priorities in a fast paced work environment.Strong organizational, problem solving, researching, writing, editing and proofreading skillsFamiliarity with electronic document management and filing systemsComfort working with and within budgets, bills and basic financial information1+ year of litigation paralegal experience a plus
